VINGO – Terms and Conditions of Sale

1. Scope and Acceptance

These Terms and Conditions of Sale (“Terms”) govern all purchases of custom and standard printed labels and related products (“Products”) from VINGO, whether you are acting as an individual consumer (“Consumer”) or as a business or organization (“Business Customer”).

By placing an order through our website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not place an order.

2. Eligibility

You must be at least 18 years old and capable of entering a legally binding contract. Business Customers represent that they have authority to bind their company or organization.

3. Product Information and Reasonable Variations

We strive to describe and display our Products accurately. However, minor differences may occur due to printing processes, materials, and monitor settings.

Color Disclaimer / Reasonable Variations: Exact color matching cannot be guaranteed. Minor differences in color, finish, or alignment (“Reasonable Variations”) are normal and do not constitute defects.

4. Custom Orders and Artwork

You are solely responsible for ensuring that all designs, text, and graphics you submit are accurate, complete, and comply with applicable laws.

By submitting artwork or files, you grant VINGO a non-exclusive, royalty-free license to use and reproduce the content solely to produce your order.

Proofs:

Our website provides a self-proofing process where you review and approve your design before submitting your order.
Once submitted, you authorize production based on your provided design.
VINGO is not responsible for:
- Low-resolution or pixelated artwork
- Incorrect bleeds or layout settings
- Improper color profiles (e.g., RGB instead of CMYK)
- Embedded font or transparency issues
- Spelling or design errors approved by you

5. Order Process

Orders are placed through our online system. Once you receive an order confirmation email, your order cannot be changed or canceled.

We reserve the right to cancel or reject any order due to pricing errors, material unavailability, or content issues.

6. Pricing, Taxes, and Payment

All prices are in U.S. Dollars and exclude applicable taxes and shipping, calculated at checkout. Full payment is required at checkout using the available payment methods.

7. Shipping and Delivery

We currently ship only within the United States. Delivery dates are estimates and not guaranteed.

If we cannot ship within 30 days, you will be notified and may choose to continue or receive a refund.

Risk of Loss:

For Consumers – risk passes upon delivery.
For Business Customers – risk passes when the carrier receives the goods.

VINGO is not responsible for carrier delays or incorrect shipping information provided by you.

8. Cancellations, Returns, and Refunds

Custom Products: Made-to-order items cannot be canceled or refunded once production begins. If VINGO makes an error or delivers a defective product, notify us at support@vingolabel.com within 10 days of delivery.

Standard (Non-Custom) Products:

May be returned within 14 days if unused and in original packaging.
Return shipping is the customer’s responsibility unless the product is defective.
Refunds are processed within 10 business days after receipt.

California Refund Disclosure: This policy differs from the “full refund within 7 days” default under California Civil Code §1723.

9. Limited Warranty

VINGO warrants that all custom-printed labels will be produced according to submitted artwork and free from material defects in adhesion or scuff durability for one (1) year.

This warranty excludes:

Customer-supplied artwork or files
Minor color variations
Improper storage or application
Exposure to unsuitable heat, moisture, or chemicals

Claims must be submitted within 365 days with samples and photos to support@vingolabel.com.

10. Intellectual Property and Indemnification

Customers represent that they have all necessary rights to materials submitted. You agree to indemnify and hold VINGO harmless from claims related to copyright, trademark, or privacy violations.

VINGO reserves the right to refuse any order deemed unlawful or infringing.

11. Force Majeure

VINGO is not liable for delays or failures due to events beyond its control, including natural disasters, labor disputes, or government actions.

12. Limitation of Liability

To the fullest extent permitted by law, VINGO shall not be liable for indirect or consequential damages. Total liability shall not exceed the purchase price of the affected product.

13. Dispute Resolution

Both parties agree to attempt informal resolution before pursuing legal action. If unresolved, disputes may be brought individually in a small claims or competent local court. Class or representative actions are not permitted.

14. Governing Law

These Terms are governed by the laws of California. Venue lies in the state or federal courts of Alameda County, California.

15. Marketing Use of Printed Work

By placing an order, you grant VINGO permission to use images of your printed work for marketing purposes. To opt out, email support@vingolabels.com with “Opt Out of Marketing Display” in the subject line.

16. Changes to Terms

We may update these Terms periodically. The most current version will always appear on our website with the effective date.

17. Assignment and Entire Agreement

You may not transfer your rights under these Terms without written consent. These Terms, together with your order and Privacy Policy, represent the entire agreement.
